Shari Redstone won control over her media empire in 2018 after a hard-fought struggle with CBS. Now, Ms. Redstone has decided to sell her controlling stake in Paramount, a decision that could put her in conflict with some of the company’s shareholders. The question that Paramount’s board has to answer — and may eventually have to defend in a courtroom: Is the deal under consideration good for all shareholders, or just Ms. Redstone? “Are these decisions that are being made in the best interest of Paramount generally?” said Eric Talley, a law professor at Columbia. “Or are they basically the types of decisions that are only going to give Shari Redstone a nice nut but pretty much stick it to the other minority shareholders?”

A more important factor could be whether Trump's real estate assets are already mortgaged, said law professor John Coffee. "He would have to come up with clean real estate property that is not already securing something that some other bank has a lien on," Coffee said. Michele Eve Sandberg | AFP | Getty ImagesIn New York City, the value of Trump's real estate holdings totals $690 million, according to a September 2023 estimate by Forbes. New York Attorney General Letitia James, who brought the fraud case, said she would seize Trump's real estate assets if he cannot pay his civil penalty. They instead offered to post a $100 million bond, but New York appeals court Judge Anil Singh rejected the proposal.

Antonio Masiello | Getty ImagesTwo weeks after a Delaware court ruled that Tesla must rescind Elon Musk's $56 billion pay package, the company's board remains mum on what the decision means for shareholders or what's next for the mercurial CEO. CNBC sent requests for additional information to Tesla investor relations, Musk and some board members. "Given the high stakes involved, it is likely that Tesla will appeal the decision," Kastiel said in an email. In the absence of a successful appeal, "any new compensation arrangement with him will have to be assessed" in light of McCormick's decision, Kastiel said. Kastiel also said that the decision likely makes Musk and Tesla more vulnerable to other types of lawsuits.

But this week, a Delaware state judge handed down a message that Musk and other powerful men in America seldom hear: Nope. The outcome of Musk’s pay package dispute is the latest instance of a towering, brash business leader getting put in his place by the one institution powerful enough to do so: US courts. Kathaleen McCormick struck down Elon Musk’s 2018 Tesla pay package after an investor challenged it as excessive. Kathleen Flynn/ReutersAmong the threads connecting Musk, Trump and McMahon is a history of evading negative consequences. “And if that’s the case, let that be a message to other people: The litigation system actually does work.”The pay package dispute wasn’t McCormick’s first rodeo with Musk.

But an Associated Press analysis of nearly 70 years of similar cases showed Trump’s case stands apart: It’s the only big business found that was threatened with a shutdown without a showing of obvious victims and major losses. “This sets a horrible precedent,” said Adam Leitman Bailey, a New York real estate lawyer who once sued a Trump condo building. But AP’s review of nearly 150 cases reported in legal databases found that in the dozen cases calling for “dissolution,” victims and losses were key factors. The New York attorney general who filed the lawsuit, Letitia James, said that helped the ex-president receive lower interest rates. In fact, the bank made its own estimates of Trump’s personal wealth, at times lopping billions from Trump’s figures, and still decided to lend to him.

“This is a basically a death penalty for a business,” said Columbia University law professor Eric Talley. Bank officials called to testify couldn’t say for sure if Trump’s personal statement of worth had any impact on the rates. His nonprofit Trump Foundation agreed to shut down in 2018 over allegations he misused funds for political and business interests. The Deutsche unit making the Trump business loans wasn’t the typical lending unit, but its private wealth division. A POTENTIAL COMPROMISETo be sure, the attorney general’s office has argued that there are larger issues than victim losses at play in Trump's case.

FILE PHOTO: The Silicon Valley Bank headquarters seen from the street in Santa Clara, California, U.S. March 13, 2023. The bank’s parent company, SVB Financial Group, entered bankruptcy on March 17. The Fed’s report concluded that SVB did not adequately hedge against risk, failed its own liquidity stress tests, and chased short-term profits at the expense of long-term stability. Rather than address these risks, the bank changed how it measured them, the report found. “I see this (Fed) report as being extraordinarily useful evidence to dangle in front of a judge or jury on class action lawsuits against accounting firms,” Cox said.
[1/2] Elon Musk, Chief Executive Officer (CEO) of SpaceX, Tesla and Twitter, arrives for a trial about his Tesla pay package at the Delaware Court of Chancery in Wilmington, Delaware, U.S., November 16, 2022. "The amount of pain, no words can express," Musk testified on Wednesday. The package allows Musk to buy 1% of Tesla's stock at a deep discount each time escalating performance and financial targets are met. "It wasn't a knock-down, drag-out affair," Todd Maron testified about the pay talks in 2017 when he was general counsel. You could almost make an argument they didn't pay him enough because he ran off after Twitter."
Procurorul districtual Michael Dougherty a anunţat că prezumtivul atacator a fost rănit şi se află în custodia poliţiei.
